Terms of Service for Northbridge Regional Services Ltd
Effective Date: 22 July 2026
These Terms of Service (the “Terms”) govern the provision of services by Northbridge Regional Services Ltd, whose registered business contact details are set out in Section 12 below, to any client, customer, or other user of its services (collectively, “Client”, “you”, or “your”). By requesting, engaging, accepting, or using the services of Northbridge Regional Services Ltd, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use or continue to use the services.
1. Introduction and Acceptance of Terms
These Terms form a legally binding agreement between Northbridge Regional Services Ltd and the Client. Any proposal, quotation, order confirmation, service schedule, statement of work, or written agreement provided by Northbridge Regional Services Ltd may supplement these Terms, but unless expressly stated otherwise in writing, these Terms shall prevail in the event of any conflict.
By entering into an engagement with Northbridge Regional Services Ltd, you confirm that:
- you have read and understood these Terms;
- you have authority to enter into a contract on behalf of yourself or the entity you represent;
- all information provided by you is accurate, complete, and not misleading; and
- you agree to comply with all obligations set out in these Terms.
2. Scope of Services
Northbridge Regional Services Ltd provides regional support and coordination services, which may include, without limitation:
- regional account management;
- on-site client support;
- local logistics coordination;
- field service scheduling;
- community and stakeholder liaison; and
- business administration support.
The exact scope, deliverables, timetable, service levels, and fees for any engagement shall be as agreed in writing between Northbridge Regional Services Ltd and the Client. Any services not expressly included in a written quotation, statement of work, or service confirmation are excluded unless agreed separately in writing.
Northbridge Regional Services Ltd may use employees, contractors, or approved third parties to perform all or part of the services, provided that it remains responsible for the reasonable coordination of such services in accordance with the agreed scope.
3. User Obligations and Responsibilities
The Client agrees to:
- provide timely, accurate, and complete information, instructions, access, and cooperation necessary for the performance of the services;
- ensure that any premises, systems, equipment, or third-party contacts made available to Northbridge Regional Services Ltd are safe, lawful, and suitable for the intended purpose;
- obtain all necessary permissions, consents, and authorisations required for Northbridge Regional Services Ltd to perform the services;
- comply with all applicable laws and regulations relating to the Client’s business, premises, and operations;
- not misuse, interfere with, or attempt to reverse engineer any materials, systems, processes, or confidential information provided by Northbridge Regional Services Ltd;
- promptly review any outputs, reports, schedules, or deliverables and notify Northbridge Regional Services Ltd of any issues without undue delay; and
- pay all charges due in accordance with Section 4.
The Client remains solely responsible for decisions made based on the services and for the operation of its own business, personnel, and third-party relationships.
4. Payment Terms and Conditions
Unless otherwise agreed in writing:
- fees shall be charged in accordance with the quotation, statement of work, or rate card provided by Northbridge Regional Services Ltd;
- all amounts are stated exclusive of VAT and any other applicable taxes, duties, or levies, which shall be payable by the Client where applicable;
- invoices are payable within 14 days of the invoice date;
- Northbridge Regional Services Ltd may require advance payment, deposits, retainers, or staged billing for certain services;
- the Client shall pay all sums in full without set-off, counterclaim, deduction, or withholding unless required by law;
- any overdue sums may accrue interest at the maximum rate permitted by applicable law, together with reasonable administrative and recovery costs; and
- Northbridge Regional Services Ltd may suspend services if payment is overdue or if there is a reasonable risk of non-payment.
Where the Client disputes an invoice, it must notify Northbridge Regional Services Ltd in writing within 7 days of receipt, specifying the disputed amount and the reasons for dispute. The Client shall remain liable for the undisputed portion of the invoice.
5. Cancellation and Refund Policy
The Client may cancel services by giving written notice to Northbridge Regional Services Ltd. Unless otherwise stated in a written service agreement:
- cancellation received before work has commenced may still incur reasonable administrative or preparation fees;
- if services have commenced, the Client shall pay for all work performed, expenses incurred, and any non-recoverable third-party costs up to the effective cancellation date;
- scheduled on-site services, logistics arrangements, or field work cancelled with less than 48 hours’ notice may be charged in full or in part where resources have been reserved;
- retainers and deposits are non-refundable to the extent they have been applied to reserved capacity, planning, or incurred costs;
- no refund will be due for services already delivered in accordance with the agreed scope;
- refunds, where applicable, will be made only for amounts clearly identified as refundable and after deduction of any outstanding sums owed to Northbridge Regional Services Ltd.
Northbridge Regional Services Ltd may suspend or terminate services immediately by written notice if the Client materially breaches these Terms, fails to pay amounts due, provides unlawful instructions, or creates a safety, legal, or reputational risk.
6. Liability Limitations
Nothing in these Terms shall exclude or limit liability to the extent that such exclusion or limitation is prohibited by applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the foregoing and to the fullest extent permitted by law:
- Northbridge Regional Services Ltd shall not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profit, loss of revenue, loss of business, loss of goodwill, or loss of opportunity;
- Northbridge Regional Services Ltd shall not be liable for delays or failures caused by inaccurate information, third-party acts or omissions, client instructions, force majeure, or the Client’s breach of these Terms;
- any liability of Northbridge Regional Services Ltd arising out of or in connection with the services, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall be limited to the total fees paid by the Client for the specific services giving rise to the claim in the 3 months preceding the event giving rise to liability, or such other amount as may be expressly agreed in writing.
The Client is responsible for implementing appropriate internal controls, insurance, and review processes in relation to the services and any decisions made based on them.
7. Intellectual Property Rights
Unless otherwise agreed in writing:
- all pre-existing intellectual property, methodologies, templates, know-how, systems, software, documents, and materials of Northbridge Regional Services Ltd remain the property of Northbridge Regional Services Ltd or its licensors;
- the Client is granted a non-exclusive, non-transferable, revocable licence to use deliverables created specifically for the Client solely for the Client’s internal business purposes and only after payment in full of all applicable fees;
- the Client shall not copy, modify, distribute, publish, sublicense, or commercially exploit any materials of Northbridge Regional Services Ltd except as expressly permitted in writing;
- the Client warrants that any content, data, branding, or materials provided to Northbridge Regional Services Ltd do not infringe the rights of any third party; and
- where deliverables incorporate third-party materials, such materials remain subject to the applicable third-party licence terms.
8. Data Protection and Privacy
Northbridge Regional Services Ltd will process personal data in accordance with applicable data protection laws and only to the extent necessary to provide the services, manage the business relationship, comply with legal obligations, or pursue legitimate business interests where permitted by law.
The Client acknowledges that Northbridge Regional Services Ltd may process personal data relating to the Client, its employees, contractors, customers, suppliers, and stakeholders in connection with:
- account management;
- service scheduling and coordination;
- on-site support activities;
- communications and relationship management;
- billing and administration; and
- compliance and record-keeping.
The Client shall ensure that it has a lawful basis for sharing any personal data with Northbridge Regional Services Ltd and shall provide any notices or obtain any consents required under applicable law.
Where appropriate, Northbridge Regional Services Ltd may enter into separate data processing terms or confidentiality arrangements. The Client may contact Northbridge Regional Services Ltd using the details in Section 12 for data privacy-related enquiries.
9. Force Majeure
Northbridge Regional Services Ltd shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:
- acts of God;
- fire, flood, storm, or other extreme weather;
- war, terrorism, civil unrest, or riot;
- pandemic, epidemic, public health emergency, or government restriction;
- industrial dispute or labour shortage;
- transport disruption;
- utility failure;
- failure of suppliers or third-party service providers; or
- any similar event outside the reasonable control of Northbridge Regional Services Ltd.
During a force majeure event, Northbridge Regional Services Ltd may suspend or modify performance as reasonably necessary. If the event continues for an extended period, either party may terminate the affected services by written notice.
10. Changes to Terms
Northbridge Regional Services Ltd may update or modify these Terms from time to time. Any revised Terms will take effect from the date stated in the updated version, or upon notice to the Client where required by law or contract.
Where a Client continues to use the services after the revised Terms take effect, that continued use constitutes acceptance of the updated Terms. If the Client does not agree to the revised Terms, the Client must discontinue use of the services and, where applicable, terminate the relevant engagement in accordance with Section 5 or any written agreement.
11. Applicable Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, including any non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory rights of either party under applicable law.

Notices will be deemed received when actually received by the relevant party or, if sent by email, when the sender has not received a delivery failure notice, provided that the sender uses the correct contact details above.
13. Severability Clause
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable, or, if such modification is not possible, it shall be severed from these Terms.
The remaining provisions shall continue in full force and effect, and the invalidity or unenforceability of any provision shall not affect the validity or enforceability of the rest of these Terms.
These Terms constitute the entire agreement between Northbridge Regional Services Ltd and the Client regarding the subject matter described herein, except where supplemented by a separate written agreement signed by both parties.
